This Offering Memorandum (“Memorandum”) is issued with the sole purpose of informing relevant aspects for a possible investment in, or acquisition of LaSalle Partners S. de R.L. de C.V. (“JLL”). This Memorandum has been prepared by JLL solely for information purposes and has been designed to assist a possible buyer to determine whether it wishes to invest in the Property. It is based on speculations on the economy in general and local competition, among other factors. Therefore, the results of the forecasts could be different. Each potential buyer will therefore rely on its own research and estimation of the Property future performance.
The owners expressly reserve the right, at its own discretion, to reject each and every one of the offers to acquire the Property and to terminate negotiations at any time without incurring into any responsibility in accordance with the guidelines and terms for an accelerated sale process. In any event, the owners will not be committed before, or have any legal obligation with, any potential buyer except and provided that the owners and said buyer has signed the corresponding promissory purchase and sale agreement and that the conditions to record a public promissory purchase and sale deed for the Property has been complied with in accordance with the terms of the agreement and other agreements that may originate from the process. This Memorandum is confidential and for the exclusive use of the addressee under the aforementioned terms in the understanding that distribution or reproduction thereof is strictly prohibited without a previous written consent of JLL.
